Terms of Service

These Terms of Service ("Terms") govern your access to and use of services provided by ZELDIGITAL ("we", "us"). By engaging our services or using our site, you agree to these Terms.

1. Services

We provide Google Ads management, PPC strategy, analytics, feed optimization, CRO sprints, reporting and related services as described on our site or in a proposal/SOW.

2. Engagement & Term

Unless otherwise stated in a signed SOW, engagements begin upon written confirmation and the first invoice payment. After an initial 90-day period, services renew month-to-month and may be canceled with 30 days' written notice.

3. Fees & Payment

• Fees are due in advance of each service period and are non-refundable once work begins.
• Ad platform spend is paid directly by you to the platforms and is not included in our fees.
• Late payments may pause work and incur a 1.5% monthly service charge or the maximum allowed by law.

4. Your Responsibilities

• Provide timely access to accounts, data, creative, and approvals.
• Maintain ownership and control of your ad accounts and data, unless otherwise agreed.
• Comply with applicable laws and platform policies.

5. Intellectual Property

You own your pre-existing IP, data, and accounts. Upon full payment, you own deliverables created specifically for you (ads, copy, audiences, reports) except our pre-existing templates, tools, and know-how, which we retain. We grant you a non-exclusive license to use such background IP as embedded in deliverables.

6. Confidentiality

Each party will protect the other’s confidential information and use it only for the engagement. This duty survives termination.

7. Disclaimer

We provide services on an "as-is" and "as-available" basis. We do not guarantee specific results or outcomes. Marketing performance depends on many factors outside our control.

8. Limitation of Liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages. Our aggregate liability arising from the engagement will not exceed the fees paid to us in the three (3) months preceding the claim.

9. Termination

Either party may terminate for material breach if not cured within 10 days after written notice. Upon termination, you will pay for services rendered through the effective termination date.

10. Publicity

We may reference your company name and non-sensitive results in anonymized case summaries unless you request otherwise in writing. We will not use your trademarks or publish detailed case studies without your prior written consent.

11. Non-Solicitation

During the engagement and for 6 months thereafter, neither party will solicit for employment the other party’s employees directly involved in the engagement, without written consent.

12. Governing Law

These Terms are governed by the laws of the State of Wyoming, without regard to conflict of law principles. Venue lies in state or federal courts located in Wyoming.

13. Miscellaneous

• Entire Agreement: These Terms plus any SOW constitute the entire agreement.
• Amendments: Changes must be in writing.
• Severability: If a provision is unenforceable, the rest remain in effect.
• Assignment: Neither party may assign without consent, except to a successor in interest.
